1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and services ("Services") provided by Inferon Techlabs Private Limited ("Company", "Inferon", "we", "our", or "us"), a company incorporated in India.

By creating an account, accessing, or using the Services, you agree to these Terms.

If you do not agree, you must not use the Services.

Supplemental Terms

Certain features may be subject to additional terms presented to you when you enable or purchase them ("Supplemental Terms"). Where Supplemental Terms conflict with these Terms, the Supplemental Terms control for that feature.

The following policies are incorporated into and form part of these Terms:

Entity Agreements

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.


2. Eligibility

You must:

  • Be at least 18 years old, or the age of majority in your jurisdiction if higher.
  • Be legally capable of entering into a binding agreement.
  • Provide accurate registration information and keep it current.
  • Comply with applicable laws while using the Services.

You are responsible for all activity occurring under your account.

The Services are not offered to individuals barred from receiving them under the laws of India or any other applicable jurisdiction.


3. Accounts

You are responsible for:

  • Maintaining the confidentiality of your credentials.
  • Restricting unauthorized access to your account.
  • Promptly notifying us of suspected unauthorized use.
  • Activity performed using your API keys.

You may not create an account using a false identity, create an account on behalf of someone else without authority, or create a new account after we have terminated a previous account for cause.

We may suspend or disable accounts that compromise the security or integrity of the Services.


4. Our Services

The Services allow you to generate, edit, and manage images, video, audio, avatars, and related digital content using artificial intelligence models operated by us and by third-party providers.

The Services may evolve over time. We may:

  • Add, modify, or remove features.
  • Change pricing or credit costs.
  • Introduce or adjust usage limits.
  • Add, change, or retire underlying models and providers.
  • Retire legacy functionality.

We will make reasonable efforts to communicate material changes in advance where practicable. Model and provider changes are governed by our Model Usage Policy.

Beta Features

We may offer features labelled beta, preview, or experimental. These are provided for evaluation without warranty of any kind, may behave unpredictably, and may be modified or discontinued at any time.


5. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy, which prohibits, among other things, unlawful activity, non-consensual depictions of real people, sexual content involving minors, harassment, fraud, malware, and platform abuse.

You agree not to:

  • Violate applicable laws.
  • Infringe intellectual property or privacy rights.
  • Upload malicious software.
  • Attempt unauthorized access to the Services or to other accounts.
  • Interfere with the Services or circumvent security measures, rate limits, or usage quotas.
  • Reverse engineer the Services except where permitted by applicable law.
  • Use the Services to distribute spam.
  • Engage in fraud or deceptive conduct.
  • Use the Services, or any Output, to develop or train a competing generative model or service.

6. Your Content

"Your Content" means the prompts, images, video, audio, documents, and other material you submit to the Services.

You retain ownership of Your Content.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and adapt Your Content solely to:

  • Provide and operate the Services for you.
  • Generate the Outputs you request.
  • Enforce these Terms and our Acceptable Use Policy.
  • Comply with legal obligations.

This license ends when Your Content is deleted, except where retention is required by law, needed to resolve a dispute, or reasonably necessary to enforce these Terms.

You represent and warrant that you hold all rights, consents, and permissions necessary to submit Your Content and to have it processed as described in these Terms.

We have no obligation to store Your Content indefinitely, and we may apply reasonable limits to file sizes, storage, and retention periods.


7. Likeness, Voice, and Biometric Data

This section is central to how our Services may be used. Read it carefully.

The Services can generate avatars, synthetic video, and synthetic speech from photographs, video, and voice recordings. Because these features process the personal characteristics of real people, additional rules apply.

You represent and warrant that, for every person whose face, body, or voice appears in material you upload:

  • You are that person, or
  • You have obtained that person's explicit, informed, written consent to upload their likeness or voice and to generate synthetic content from it, and you can produce evidence of that consent on request, or
  • You otherwise hold a documented legal right to use that likeness or voice for the purpose in question.

You must not upload the likeness or voice of:

  • Any person who has not consented, including public figures, celebrities, and politicians.
  • Any minor, in any context.
  • Any deceased person, unless permitted by applicable law and any applicable estate or publicity rights.

You must not use the Services to create content that falsely presents a real person as saying or doing something they did not say or do, or that is likely to deceive viewers about the authenticity or origin of the content.

Our processing of facial geometry, voiceprints, and similar data is described in our Biometric Data Policy. Where required by applicable law, we will obtain your consent before processing such data, and you are responsible for obtaining any consent required from third parties whose data you submit.

Violations of this section may result in immediate termination without notice and, where applicable, referral to law enforcement.


8. Outputs

"Outputs" means the content generated by the Services in response to Your Content.

Subject to your compliance with these Terms and payment of applicable fees, we assign to you such rights as we hold in the Outputs you generate, and you may use them for personal or commercial purposes.

You acknowledge that:

  • Outputs are generated probabilistically. Similar prompts submitted by different users may produce similar Outputs, and we cannot guarantee that any Output is unique.
  • We make no representation that any Output is free from third-party rights, or that it is protectable by copyright in your jurisdiction. The legal status of AI-generated content varies by country and is unsettled in many.
  • Outputs generated in violation of these Terms or our Acceptable Use Policy carry no license, and your rights in them terminate.
  • Rights in Outputs generated using third-party models may additionally be subject to that provider's terms, as described in our Model Usage Policy.

You are solely responsible for reviewing Outputs before publishing, distributing, or relying on them.

Disclosure of Synthetic Content

Where you publish synthetic media depicting a person, you are responsible for making any disclosure required by applicable law. We may embed provenance metadata or visible watermarks in Outputs, and you must not remove, obscure, or alter them.


9. Model Training

We do not use Your Content or your Outputs to train our own general-purpose or foundation models.

Two exceptions apply, both narrow:

  • Models we train for you. Where you expressly request a custom or fine-tuned model, we process the material you supply for that purpose. The resulting model is provisioned for your use and is not used to serve other customers.
  • Safety and abuse systems. We process content through automated moderation and abuse-detection systems, and we may retain material associated with a suspected violation for investigation, enforcement, and legal compliance.

Third-party model providers process your submissions under their own terms. We select providers that offer non-training or zero-retention handling for API traffic where such terms are available, and we identify our providers in our Subprocessors list.


10. Intellectual Property

Except for Your Content and Outputs, all intellectual property rights in the Services remain the property of the Company or its licensors.

These Terms do not transfer ownership of:

  • Software and source code
  • Models, weights, and prompts developed by us
  • Designs and user interfaces
  • Trademarks and logos
  • Documentation and APIs

You receive a limited, revocable, non-transferable, non-sublicensable license to use the Services in accordance with these Terms.

Use of our name and logos is governed by our Trademark Policy.

Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation or compensation. We will not identify you as the source without your permission.


11. AI and Automated Features

The Services are built on artificial intelligence and produce probabilistic results.

AI-generated Outputs:

  • May contain errors, artifacts, or fabricated details.
  • May be incomplete or inconsistent between runs.
  • Must be reviewed before use in any decision that matters.
  • Are provided for informational or creative purposes unless expressly stated otherwise.

The Services are not intended to provide medical, legal, financial, or other professional advice, and must not be used as the sole basis for decisions affecting a person's legal rights, safety, employment, credit, housing, insurance, or access to essential services.

12. Third-Party Services

The Services integrate third-party providers for authentication, payments, storage, analytics, and model inference.

We are not responsible for:

  • Third-party availability or performance.
  • Third-party policies or content.
  • Third-party service interruptions.

Your use of a third-party service you connect to your account is governed by that provider's terms. Our current providers are listed in Subprocessors.


13. Fees, Credits, and Payments

Certain Services require payment. You agree to pay applicable fees, provide accurate billing information, and pay applicable taxes unless exempt.

Payment processing is handled by our authorized payment provider. We do not store complete card numbers.

Subscriptions

Subscriptions renew automatically at the then-current price for the plan until cancelled before the renewal date. You authorize us to charge your designated payment method at the start of each billing period.

Where a subscription price changes in a way that affects your plan, we will make reasonable efforts to notify you in advance so that you may cancel before renewal.

Credits

Generation on the Services consumes credits.

  • Subscription plans include a credit allowance for each billing period.
  • Credit packs may be purchased separately.
  • Credit costs per generation vary by model and output type, and are shown before you confirm a generation.
  • Credit costs may change as provider pricing and model availability change.
  • Credits have no cash value, are non-transferable, and are not redeemable for cash except where required by applicable law.
  • Included subscription credits are allocated per billing period and do not carry over unless the plan states otherwise.
  • Unused credits are forfeited when an account is closed or terminated.

Credits consumed by a generation are not returned if you are dissatisfied with the Output. Where a generation fails because of an error on our side or an upstream provider outage, we will restore the credits consumed.

Taxes

Prices may exclude applicable taxes, including Indian GST. Where we are required to collect tax, it will be added to your fees. You are responsible for taxes arising in your own jurisdiction.


14. Refunds

Refunds are governed by our Refund & Cancellation Policy.

Where no separate refund right applies, fees are non-refundable except where required by applicable consumer protection law.


15. Availability

We strive to maintain reliable Services but do not guarantee uninterrupted availability.

The Services may be unavailable due to maintenance, security events, infrastructure failures, third-party or model provider outages, or force majeure events.

Uptime commitments apply only where expressly agreed in an enterprise agreement. See Service Levels.


16. Moderation and Enforcement

We may, but are not obliged to, review, screen, or moderate content submitted to or generated by the Services.

We operate automated safety systems that may block prompts or Outputs. These systems are imperfect and may block permitted content or fail to block prohibited content. Our approach, and how to appeal a decision, is described in our Moderation Policy.

We may remove content, restrict features, or report unlawful activity to authorities where we reasonably believe it is necessary to protect users, the Services, or to comply with law.


17. Suspension and Termination

We may suspend or terminate access if you:

  • Violate these Terms or the Acceptable Use Policy.
  • Create security risks.
  • Abuse the Services or circumvent usage limits.
  • Fail to pay applicable fees.
  • Engage in unlawful activity.

Where the violation is severe — in particular any violation involving minors, non-consensual intimate imagery, or non-consensual depiction of a real person — we may act immediately and without notice.

You may stop using the Services and close your account at any time.

On termination, your right to use the Services ends and we may delete Your Content from our active systems, subject to the retention periods described in our Privacy Policy. Provisions that by their nature should survive termination will survive, including those covering ownership, licenses granted to us, disclaimers, limitation of liability, and indemnification.


18. Copyright Complaints

We respond to notices of claimed copyright infringement and terminate the accounts of repeat infringers. The notice, counter-notice, and appeal process is set out in our Copyright & DMCA Policy.


19. Disclaimers

The Services are provided "as is" and "as available."

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Services will meet your requirements.
  • The Services will be uninterrupted, timely, secure, or error-free.
  • Outputs will be accurate, reliable, original, or fit for any particular purpose.
  • Defects will be corrected.

Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.


20. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates will not be liable for:

  • Indirect, incidental, special, punitive, or consequential damages
  • Loss of profits, revenue, goodwill, or business opportunities
  • Loss of or corruption of data
  • Loss arising from your reliance on any Output

Where liability cannot be excluded, our total aggregate liability for all claims is limited to the greater of the amount you paid us for the applicable Service during the twelve (12) months preceding the event giving rise to the claim, or ten thousand Indian Rupees (INR 10,000).

Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you. This section does not limit liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.


21. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, employees, and contractors from claims, losses, liabilities, and reasonable costs arising out of:

  • Your use of the Services.
  • Your Content and your Outputs.
  • Your violation of these Terms or the Acceptable Use Policy.
  • Your violation of applicable law.
  • Your infringement of third-party intellectual property, privacy, publicity, or personality rights, including any claim that you uploaded a person's likeness or voice without the consent required by Section 7.

We may assume the exclusive defense and control of any matter subject to indemnification, at our own cost, in which case you will cooperate with us.

This section survives termination.


22. Dispute Resolution and Governing Law

Informal Resolution First

Before commencing formal proceedings, you agree to contact us at legal@inferon.ai with a description of the dispute and to allow us sixty (60) days to attempt a good-faith resolution. We will do the same before commencing proceedings against you.

Governing Law

These Terms and any dispute arising out of them are governed by the laws of India, excluding conflict of law principles.

Jurisdiction

Subject to the informal resolution requirement above, the courts at Bhopal, Madhya Pradesh, India have exclusive jurisdiction, unless applicable consumer protection law in your country of residence gives you the right to bring proceedings in your local courts.

Consumer Rights

If you are a consumer resident in a jurisdiction whose law grants you rights that cannot be waived by contract, nothing in these Terms limits those rights.


23. Export Controls and Sanctions

You may not use or export the Services in violation of applicable export control or sanctions laws.

You represent that you are not:

  • Located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions.
  • Listed on any applicable list of restricted or prohibited parties.
  • Acting on behalf of any such person or entity.

24. General Provisions

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, network or power failure, or failure of an upstream infrastructure or model provider.

Electronic Communications

You consent to receive communications from us electronically, and agree that notices, agreements, and disclosures we provide electronically satisfy any legal requirement that they be in writing.

Notices

Notices to you may be sent to the email address on your account. You are responsible for keeping that address current; a notice sent to an outdated address is still effective. Notices to us must be sent to legal@inferon.ai and, where a physical notice is required, to the address in Section 26.

Severability

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.

Waiver

Our failure to enforce a provision is not a waiver of our right to enforce it later.

No Third-Party Beneficiaries

These Terms do not create rights for any third party except as expressly stated.

Language

These Terms are drawn up in English. Where we provide a translation, the English version controls in the event of a conflict.

Entire Agreement

These Terms, together with the policies incorporated by reference and any Supplemental Terms, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on that subject.


25. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated by email to the address on your account, or by notice within the Services, at least fourteen (14) days before they take effect, except where a change is required to take effect sooner by law or to address a security or legal risk.

The "Last Updated" date reflects the most recent revision. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not accept them, you must stop using the Services and may close your account.
