Enterprise Terms

These terms apply to business and enterprise customers. They supplement our Terms of Service and apply only where you have an enterprise plan or a signed order form.

Where these terms conflict with our general Terms of Service, these terms control for enterprise customers. Where a signed agreement conflicts with this document, the signed agreement controls.

Individual and consumer accounts are governed by the general Terms of Service, and nothing here applies to them.

1. Organizations and Workspaces

An organization is the billing and administrative entity. Within it, workspaces separate projects, teams, or clients.

Assets, avatars, voices, custom models, generation history, and API keys belong to the workspace in which they were created. Workspaces are isolated from one another, and access does not cross between them.

The organization, not the individual user, owns the content created in its workspaces.


2. Administrators

Administrators can manage members and their roles, create and delete workspaces, manage API keys, view usage and billing, configure single sign-on, access audit logs, and export or delete organization content.

Administrators can access content within the organization's workspaces, including content created by individual members. Members should understand that work created in an organization workspace is visible to their administrators.

You are responsible for who you appoint as an administrator and for the actions they take.


3. Members and Seats

Enterprise plans are licensed per seat.

  • A seat is assigned to a named individual and may not be shared.
  • Adding seats mid-term is charged on a pro-rata basis.
  • Reducing seats takes effect at the next renewal.
  • Removing a member frees their seat and revokes their access immediately, while content they created remains with the organization.

You are responsible for removing members who leave your organization. We recommend using single sign-on so that deprovisioning happens automatically.


4. Single Sign-On

Enterprise plans support SAML and OIDC single sign-on through our identity provider.

Where SSO is enforced, members authenticate through your identity provider, and you control account lifecycle and password policy. Deprovisioning a user in your directory revokes their access.

You are responsible for the configuration and security of your own identity provider. We recommend maintaining at least one break-glass administrator account so that a misconfiguration does not lock you out.


5. Audit Logs

Enterprise organizations have access to audit logs covering authentication events, member and role changes, workspace creation and deletion, API key creation and revocation, generation activity, content deletion, and configuration changes.

Logs are retained for the period stated in your plan or order form and can be exported. They are intended to support your own compliance obligations.


6. Data Ownership and Controllership

You retain ownership of content your organization submits and of the Outputs it generates.

Where you supply personal data concerning your own employees, customers, or end users, you act as the controller or Data Fiduciary and we act as processor or Data Processor on your instructions.

This matters for biometric data in particular. Where your users' faces or voices are processed through our Services, you are responsible for obtaining the consents their local law requires, including any written release required under the Illinois Biometric Information Privacy Act or an equivalent statute. Our own Biometric Data Policy governs data we collect from our own users, not data you supply.


7. Data Processing and Compliance

Our Data Processing Addendum applies to personal data we process on your behalf and is available for execution as part of your agreement. It covers processing scope, subprocessors, international transfers, security measures, breach notification, audit rights, and deletion on termination.

8. Security Reviews

We support customer security reviews. On request, and subject to a confidentiality agreement, we can provide our security documentation, complete a reasonable security questionnaire, discuss our architecture and data flows, and provide the compliance information described in Compliance.

Penetration testing against our production environment requires written permission and an agreed scope and window. Contact security@inferon.ai to arrange it.


9. Service Levels

Uptime commitments, service credits, maintenance windows, and support response targets are set out in Service Levels.

Service level commitments apply only to enterprise customers with a signed agreement referencing them. They do not apply to free plans, trials, self-serve subscriptions, or features labelled beta or experimental.


10. Invoicing and Procurement

Enterprise customers may pay by invoice rather than card.

  • Standard payment terms are net 30 from the invoice date, unless the order form says otherwise.
  • Purchase order numbers can be included on invoices where you require them.
  • Annual commitments may be paid up front or in agreed instalments.
  • Overage beyond a committed volume is invoiced in arrears.
  • Late payment may result in suspension after written notice and a reasonable opportunity to cure.

We can complete vendor onboarding, supply tax documentation, and respond to procurement questionnaires. Contact us early, since procurement usually takes longer than the technical evaluation.


11. Support

Enterprise support includes a named point of contact, a prioritized support channel, response targets set out in your agreement, and assistance with onboarding, integration, and migration.

Support covers use of the Services. It does not include developing your application, producing creative content on your behalf, or supporting third-party systems you connect.


12. Term and Termination

The term, renewal, and notice periods are set out in your order form.

On termination, we will make your content available for export for 30 days, after which it is deleted in accordance with our Data Processing Addendum and Privacy Policy. Unused credits and prepaid commitments are handled as stated in your agreement.

Either party may terminate for material breach that remains uncured 30 days after written notice.
